Terms of Service

Last updated: [DATE]

These terms are a plain-language summary framework and must be reviewed and completed by legal counsel before they are relied upon. Where you have signed a separate Master Services Agreement or order form with Callable, that agreement takes precedence over these terms.

These Terms of Service govern your use of Callable's website and services provided by Callable ([registered company name], company number [number]) ("Callable", "we"). By creating an account or using the services you agree to them.

1. The services

Callable provides cloud communications services — voice, messaging, AI agents, reporting and connectivity — as described on our website and in your order. We may improve or change the services over time; we will not materially reduce the core functionality you pay for without notice.

2. Your account

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must meet any eligibility and verification requirements (including for numbers and messaging) and keep your details up to date.

3. Acceptable use

Your use must comply with our Acceptable Use Policy and all applicable laws and telecoms regulations. We may suspend services that breach it.

4. Fees and payment

You agree to pay the fees for your plan and usage. Usage-based charges (such as calls, messages and numbers) are billed in arrears unless stated otherwise. Fees are exclusive of VAT and other taxes. Late or failed payment may lead to suspension.

5. Customer data and privacy

You retain ownership of your data. For personal data processed through the services, Callable acts as your processor under our Data Processing Addendum; see our Privacy Policy. You are responsible for having the rights and consents needed for the communications you send.

6. Service levels and support

Availability commitments and support, where offered, are set out in our Service Level Agreement or your order.

7. Warranties and liability

The services are provided with reasonable skill and care. To the extent permitted by law, we exclude other warranties, and neither party is liable for indirect or consequential loss. Nothing limits liability that cannot lawfully be limited. Our total liability is capped as set out in your agreement. [Liability caps and exclusions to be finalised by counsel.]

8. Term and termination

Either party may terminate as set out in your order. We may suspend or terminate for material breach (including AUP breaches) or non-payment. On termination you may export your data for a limited period, after which it may be deleted.

9. General

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. We may update these terms; continued use after an update means you accept it.
